Singapore Company Incorporation Guide
A practical, reviewed account of what the rule requires, when it applies, and what to keep as evidence.
The short answer
The obligation is date-driven, not reminder-driven.
Work from the statutory basis date, retain the satisfying artefact, and treat internal service targets as separate from the legal deadline.
How the rule works
Singapore private companies maintain a small set of recurring filings and registers. Each requirement has its own trigger, calculation rule and evidence. The safest operating model preserves all three rather than reducing them to one dashboard date.
| Record | Basis | Evidence to retain |
|---|---|---|
| Annual Return | Financial year end | Acknowledgement and filed form |
| RORC | Knowledge of a change | Notices and register entry |
| AGM position | Company profile and exemptions | Resolution or meeting record |
Common questions
Does an internal target change the statutory deadline?
No. An internal target provides operating margin; the statutory date remains visible and independently calculated.
What if a public-holiday date is not yet confirmed?
The result is marked PROVISIONAL and names the published holiday horizon used in the calculation.
Sources and review note
Rule references are resolved from Jurisdiction Pack RD02-2026.08. Third-party comparisons must identify their source and capture date; none are used on this page.
